How to Register a Company in India — Step-by-Step Guide (2026)

Every Indian founder reaches the same question in the first two weeks of their startup: how do I register a company in India? It sounds like one decision but it is really three — which structure to choose, how to run the actual MCA filing, and what to keep in order after the Certificate of Incorporation arrives. This guide is the plain-English map for all three. We cover how to register a Private Limited Company (Pvt. Ltd.) and how to register an LLP, with everything from name availability to post-registration compliance, so you can either do it yourself or know exactly what to ask the person who does it for you.

What Company Registration in India actually means

To register a company in India is to create a separate legal entity that the law recognises as a person distinct from its owners — able to own assets, open bank accounts, enter contracts, sue and be sued in its own name. The two structures that offer this protection and are overwhelmingly chosen by Indian founders are the Private Limited Company (Pvt. Ltd. Registration) and the Limited Liability Partnership (LLP Registration). Both are regulated by the Ministry of Corporate Affairs (MCA), both are fully online to incorporate, and both separate your personal assets from your business risks — the single most important feature of either structure.

Step 1 — Choose your structure: Private Limited, LLP or OPC

Before you register anything, pick the vehicle. A Private Limited Company is the gold standard for startups that intend to raise external funding, add co-founders or build at scale — only a Pvt. Ltd. can issue equity shares. An LLP is the smartest middle path if you want limited liability with partnership-style flexibility and lower annual compliance than a company, but no fundraising plans — ideal for professional services, consultancies and agencies. A One Person Company (OPC) is purpose-built for a solo founder who wants company-level protection without taking on a partner. For most ambitious founders, the right answer is to register a Private Limited Company straight away.

How to register a Private Limited Company (Pvt. Ltd.) in India

Private Limited Company Registration is a fully online process through the MCA portal, and in a clean application it is live in 7–10 working days. Step 1 — obtain Digital Signature Certificates (DSC) for the proposed directors. Step 2 — apply for Director Identification Numbers (DIN); these are now applied for inside the integrated incorporation form itself. Step 3 — reserve the company name through the MCA's RUN / SPICe+ Part A facility, after cross-checking trademark and domain availability. Step 4 — file the SPICe+ incorporation form with the Memorandum of Association (MOA) and Articles of Association (AOA) that define the company's objects and internal rules. Step 5 — receive the Certificate of Incorporation along with PAN, TAN, EPFO, ESIC and bank-account opening details issued together as part of the integrated SPICe+ form. That is the entire mechanical answer to "how to register a Private Limited" in India. The practical answer is: get your documents and premises proof in order first, and the filings become straightforward.

How to register an LLP (Limited Liability Partnership) in India

LLP Registration follows a similar online path under the LLP Act, 2008 and typically completes in 10–15 working days from a clean application. Step 1 — obtain DSCs for the proposed designated partners. Step 2 — apply for Designated Partner Identification Numbers (DPIN / DIN). Step 3 — reserve the LLP name through the MCA's RUN-LLP facility (same name-availability discipline as Pvt. Ltd.). Step 4 — file the FiLLiP incorporation form. Step 5 — receive the Certificate of Incorporation, and then — crucially — file the LLP agreement with the MCA within 30 days of incorporation. The LLP agreement defines contribution, profit-sharing, decision rights and exit terms; missing the 30-day filing deadline attracts penalties. That 30-day step is the single most common slip in LLP Registration that founders make, so put it on the calendar before you file.

Documents you need to register a company in India

The core document set is almost the same for Pvt. Ltd. Registration and LLP Registration. For each director, designated partner and shareholder — PAN card, identity and address proof from Aadhaar / Voter ID / Passport / Driving Licence, a passport-size photograph and a recent bank statement or utility bill as residence proof. For the registered office — proof of the office address (recent electricity or utility bill), a rent agreement if the premises are rented, and a No-Objection Certificate (NOC) from the property owner. Plus Digital Signature Certificates (DSC) for the signatories, and the drafted MOA / AOA (for a Pvt. Ltd.) or LLP agreement (for an LLP). NRIs and foreign nationals additionally need apostilled identity and address proofs — this is where cross-border incorporations slow down if not planned.

Costs and realistic timeline

For a straightforward Indian application, government fees, stamp duty, PAN, TAN, DSC and DIN together typically total under ₹10,000 for a Private Limited Company — though stamp duty varies by state and authorised capital. End-to-end professional fees from a reputable provider usually land between ₹8,000 and ₹20,000 depending on inclusions. LLP Registration tends to be comparable or marginally lower. Timeline: 7–10 working days for a clean Pvt. Ltd. incorporation and 10–15 working days for an LLP, assuming documents are ready and the name is approved on the first attempt. The main reasons applications take longer are: name rejections (fix: strong name + two reserves), incomplete document sets, or state-level stamp duty formalities.

Post-registration compliance — the part nobody warns you about

Receiving the Certificate of Incorporation is the start, not the finish. For a Private Limited Company, mandatory ongoing items include statutory audit regardless of turnover, annual ROC filings (AOC-4 and MGT-7/7A), DIR-3 KYC for each director every year, board and shareholder meetings with proper minutes, and maintenance of statutory registers. For an LLP, annual filings include Form 11 (Statement of Annual Return) and Form 8 (Statement of Accounts and Solvency); statutory audit kicks in only once turnover crosses ₹40 lakh or contribution ₹25 lakh. On top of entity-level compliance, almost every founder also needs GST Registration, a current bank account, Udyam (MSME) registration, Startup India / DPIIT recognition for tax benefits, and possibly Shop & Establishment Act registration. A good company registration provider sets all of this up with the incorporation, not three months later when something is already overdue.

Common mistakes founders make when registering a company

Five mistakes we see repeatedly. One — rushing the name without a trademark and domain check, then losing the brand name after six months because someone else owns the mark. Two — picking the wrong structure, usually a Sole Proprietorship for a business that will clearly need fundraising, then paying to convert later. Three — using a residential address as registered office without proper NOC and documentation, and getting the application rejected. Four — ignoring the LLP agreement 30-day filing deadline. Five — treating post-registration compliance as optional, racking up ROC penalties in year one. All five are avoidable with a short planning conversation before you start filing.

Deep-dive guides for each structure

If you want the full, structure-specific detail, we have written in-depth guides for each option: Private Limited Company Registration in India (SPICe+, DIN, DSC, PAN and TAN end-to-end), One Person Company (OPC) Registration for solo founders, LLP Registration under the LLP Act 2008, Partnership Firm Registration under the Indian Partnership Act 1932, and Sole Proprietorship Registration (GST, Udyam, Shop & Establishment). Each covers the exact process, documents, costs and gotchas for that structure. Also useful before you choose: our side-by-side comparison of all five Indian business structures.
